Consolidated B2C and B2B master terms with a canonical EULA and subscription, cancellation, withdrawal, and refund appendix

This is the reference version for users outside Korea; the Korean version applies to users in Korea. Mandatory consumer and privacy laws where you live continue to apply.

1. Provider and Contract Structure

Footage Manager is a macOS media management app, website account, license-validation, download, update, and support service provided by Science Fiction Inc. (주식회사 싸이언스픽션).

The app, account, service, and software-license contract is between you and us. At checkout, Lemon Squeezy resells the product to the buyer as merchant of record (MoR) and handles payment, tax, receipts, refunds, and chargebacks under its separate Buyer Terms.

As of this version, the published Lemon Squeezy entity is Sold through Link, LLC f/k/a Lemon Squeezy LLC. If the checkout or receipt identifies a successor or different payment entity, that displayed entity is recorded and applies to the transaction. Lemon Squeezy's MoR role does not replace our obligations for the product, support, privacy, consumer protection, or licensing.

2. Eligibility, Consumers, and Business Customers

You must be at least 18 years old. If the age of majority is higher where you live, or your legal capacity is otherwise limited, you must obtain any required parent or legal-representative consent before registration and purchase. In Korea, a user under 19 or their legal representative may cancel a contract made without the representative's consent. We do not permit anyone under 18 to register or purchase.

The age and legal-representative consent confirmation at registration and purchase is your self-declaration, not identity, age, or consent verification by us. A false statement does not remove mandatory protections, cancellation, or refund rights under applicable law. If we learn that a minor is using the service, we may handle the account and subscription as that law requires.

A person purchasing mainly for personal purposes is a Consumer. A person, freelancer, sole trader, or entity purchasing mainly for business or professional purposes may be a Business Customer. A label or email domain alone does not remove consumer rights; your status under applicable law controls.

If you register or purchase for an organization, you represent that you have authority to bind it to these Terms. The organization is responsible for its authorized users and account use.

3. Service, Accounts, and Free or Pro Features

Footage Manager assists with Final Cut Pro library and media-path analysis, usage and link-status inspection, media transfer, and cleanup. Available features may vary by app version, operating system, storage, plan, and distribution channel.

  • Some Free features may be available without sign-in or payment.
  • Pro features may require an active subscription or entitlement and periodic server validation.
  • You must provide accurate account information and secure your credentials and email access.
  • Notify support@footagemanager.com promptly if you discover compromise or unauthorized use.

4. Orders, Billing, and Order of Precedence

Appendix B governs trials, automatic renewal, cancellation, withdrawal, and refunds. Appendix A governs software use, and each Appendix controls over the main Terms for its subject.

The final price, currency, tax, discount, trial end, first charge date, and next renewal date shown at checkout control only as order-specific transaction facts. Checkout does not replace the rest of these Terms or non-waivable consumer rights.

5. Privacy and User Materials

Personal data is handled under the Privacy Policy. The app does not upload source media or Final Cut Pro libraries to our servers by default.

You must have the rights needed for files and materials you provide or process and must not infringe another person's copyright, privacy, or confidence. Remove sensitive or unnecessary information before sending support material.

6. Prohibited Conduct

  • Unauthorized use of another person's account, payment method, license, or personal data
  • Circumventing licensing, activation, billing, rate limits, or security controls
  • Excessive automated requests or exploitation or disclosure of vulnerabilities in a manner that disrupts the service
  • Use for unlawful content, rights infringement, malware, fraud, or sanctions or export-control violations
  • Resale, redistribution, or hosted provision to third parties without our prior permission

7. Intellectual Property and Third-Party Components

Rights in the Footage Manager app, website, documentation, marks, designs, code, and licensing system belong to us or their lawful owners. These Terms grant only the limited rights expressly stated.

Open-source and third-party components remain subject to their applicable licenses, and these Terms do not reduce rights granted by those licenses.

8. Service Changes and Availability

We may update or change features for security, compatibility, legal, third-party service, or operational reasons. If we materially reduce a paid core feature or discontinue the service, we will provide reasonable notice and an export opportunity and refund unused fees where required by law or Appendix B.

We do not promise availability in every country and may restrict access or purchases where required by law, sanctions, or payment-provider restrictions.

9. Suspension, Termination, and Account Deletion

We may proportionately restrict, suspend, or terminate access for a breach, nonpayment, fraud, license abuse, security risk, or legal obligation. Except for emergencies or where notice is prohibited, we provide reasonable notice and an opportunity to cure a remediable breach.

You may stop using the app and request subscription cancellation or account deletion at any time. Account deletion does not automatically cancel or refund a subscription, so check active subscriptions first.

10. Warranty, Backups, and Liability

We provide the service with reasonable care and skill but do not promise uninterrupted or error-free operation or perfect media detection or recovery in every environment. You must separately back up important projects and verify targets and results before file changes.

To the maximum extent permitted by law, we are not liable for unforeseeable indirect, special, or consequential loss, business loss, or loss increased by your failure to maintain reasonable backups. Our aggregate liability is limited to the amount paid for the service during the 12 months before the claim.

These limits do not apply to willful misconduct or gross negligence, fraud, death or personal injury, data-protection obligations, our material breach, or consumer rights and liabilities that cannot lawfully be limited.

11. Governing Law, Disputes, and Language

These Terms are governed by the laws of the Republic of Korea. The parties will first try in good faith to resolve disputes through customer support; unresolved disputes go to the court with jurisdiction under applicable law.

This clause does not remove a Consumer's non-waivable rights to local consumer protection, warranties, withdrawal, or a local forum.

The Korean version applies to users in Korea, and the English version is the reference version for other users. Other translations are for understanding and translation errors will not be interpreted against a Consumer.

12. Changes and Contact

We normally give 30 days' advance website, email, or in-app notice of material or adverse changes. Urgent security or legal changes and changes favorable to users may take effect sooner. Completed transactions and existing disputes remain governed by the version applicable when they occurred.

Previous versions are available in the document history. Contact us at support@footagemanager.com or +82-10-4269-7274.

Appendix A. End User License Agreement (EULA)

This Appendix applies to installation and use of the Footage Manager macOS app and forms part of the Terms. Footage Manager is licensed, not sold.

A-1. Limited License

While you comply with these Terms and pay any required fees, we grant a limited, non-exclusive, non-transferable, and non-sublicensable license to install and run the app for your internal media-management work.

A-2. Named User, One Mac, and Reassignment

  • One subscription is assigned to one named user and may be active on one Mac at a time.
  • Business Customers need a separate subscription for each actual user and may not share account credentials among users.
  • The activation may be reassigned to another Mac after 15 days have passed since the last activation or reassignment.
  • For loss, permanent failure, or replacement of a Mac, you may ask support for earlier reassignment, subject to reasonable abuse-prevention verification.

A-3. Validation, Internet, and Updates

Pro entitlement may require sign-in, an internet connection, a device identifier, and periodic server validation. We may require updates or reauthentication for security, compatibility, or legal reasons.

We do not support every macOS, Final Cut Pro, hardware, network-storage, beta, or older app version indefinitely.

A-4. Project Files, Review, and Backups

The app assists with local storage, external disks, NAS, and Final Cut Pro libraries. Before moving, deleting, relinking, recovering, transferring, or cleaning media, you must verify targets, references, storage connections, and backups.

The app does not upload source media or libraries to our servers by default. Maintain independent backups to reduce the impact of incorrect choices, storage failures, permissions, other apps, or concurrent work.

A-5. License Restrictions

  • Reverse engineering, decompilation, disassembly, or source extraction except to the extent expressly permitted by applicable law
  • Circumvention or alteration of licensing, activation, billing, or security controls, or submission of false information
  • Copying, resale, rental, leasing, sublicensing, unauthorized distribution, or use to develop a competing product
  • Providing an account, app, or Pro features for a third party to use as its own service

A-6. Open Source, Support, and Termination

Open-source components remain subject to their licenses. Support is available at support@footagemanager.com; do not send confidential media or complete projects unless requested.

This license ends when the subscription or entitlement expires or for a material license breach. You must stop using Pro features after termination. Ownership, file responsibility, restrictions, and provisions that by nature survive remain effective.

Appendix B. Subscription, Cancellation, Withdrawal, and Refund Policy

This Appendix forms part of the Terms and explains free trials, automatic renewal, cancellation, our voluntary refund promise, and statutory rights for Footage Manager Pro.

B-1. Free Trial and First Charge

  • Monthly Pro automatically converts and renews at USD $9.99/month after a 7-day free trial. Annual Pro automatically converts and renews at USD $99/year after a 14-day free trial.
  • Cancel before the trial ends to avoid the first subscription charge.
  • Checkout shows the final price, currency, tax, discount, trial end, and scheduled first charge. Review checkout for the exact amount and date of your order.

B-2. Automatic Renewal and Advance Notice

Your subscription automatically renews at the selected interval until canceled. We send the account email a reminder stating the renewal date, then-current price, and cancellation method at least 7 days before a monthly renewal and at least 30 days before an annual renewal.

Keep your email address current. If we do not send the promised renewal reminder, the related renewal charge is a refund exception under B-5.

B-3. Cancellation

You may cancel any time before the next renewal through account billing, the Lemon Squeezy Customer Portal, or support@footagemanager.com. A request that reaches our support channel before renewal is timely based on its receipt timestamp.

Cancellation stops future renewals. Without a refund, Pro normally remains available through the already paid period. If provider processing causes a charge after a timely cancellation, we refund that renewal in full.

B-4. Global 14-Day Voluntary Refund Promise

Consumers and Business Customers may request a full refund of the first successful paid Footage Manager Pro charge on the account within exactly 14×24 hours after its transaction timestamp. This includes the first charge after a trial and applies to both monthly and annual subscriptions.

This is our voluntary promise in addition to statutory withdrawal rights. We may limit this voluntary promise where objective evidence shows fraud, payment-method theft, or repeated refund abuse, but never to limit a non-waivable statutory right.

B-5. Later Renewals and Exceptions

The B-4 voluntary full-refund promise does not apply to a normal renewal after the first paid charge. We nevertheless issue a full refund or the amount legally required where:

  • a cancellation request was received before renewal but provider processing caused the charge
  • there is a duplicate, wrong amount, our or the payment system's error, or a verified unauthorized charge
  • we did not send the renewal reminder promised in B-2
  • a material service failure caused by us is not resolved within a reasonable time
  • mandatory consumer law, payment-network rules, or a Lemon Squeezy decision requires a refund

B-6. Korean Consumers and Annual Plans

Consumers in Korea retain all withdrawal, cancellation, termination, and refund rights under the Korean Act on the Consumer Protection in Electronic Commerce and other applicable law. Any exception for commenced digital content or services applies only where its statutory requirements and separate notice are satisfied; this Appendix does not waive mandatory rights.

Even after the B-4 period, a Korean Consumer may cancel Annual Pro and request a refund for the prepaid unused period, calculated daily from the effective cancellation date. We charge no early-termination penalty and deduct only the price of the period already provided and adjustments permitted by law.

B-7. Effect and Processing of an Approved Refund

When a full refund is approved, we also cancel future renewal and Pro access ends as soon as approval and entitlement reversal are processed. For a Korean annual-plan unused-period refund, Pro access ends on the effective cancellation date.

We assess and approve eligibility under this Policy. Lemon Squeezy, as MoR, sends the actual funds back to the original payment method. Lemon Squeezy may also refund separately under its Buyer Terms, payment-network requirements, or chargeback-prevention rules. Your bank or card issuer may need additional processing time.

Refund and subscription cancellation are separate provider actions, so we verify both states when approving a refund.

B-8. Requests, Evidence, and Changes

Submit the refund form in your account, or email support@footagemanager.com with your account email and order number. A reason is optional. Never send a full card number, password, or authentication code.

Policy changes apply to purchases made after the change; completed purchases normally keep the version in effect at purchase. A favorable change or mandatory law may also apply to an earlier purchase. Previous versions remain in the document history.
